Vendor Terms

These Vendor Terms and Conditions ("Agreement") govern the relationship between BMapi and any vendor, reseller, partner, supplier, agency, or third-party service provider ("Vendor") using or working with BMapi services, platforms, APIs, infrastructure, or related technologies.
By accessing, integrating with, reselling, or using BMapi services, the Vendor agrees to comply with these Terms and Conditions.

### 1. Vendor Eligibility
Vendors must:
* Be legally authorized to operate in their jurisdiction
* Provide accurate and complete business information
* Maintain valid licenses, registrations, and approvals where applicable
* Comply with all applicable laws, regulations, and industry standards
BMapi reserves the right to approve, reject, suspend, or terminate any vendor account at its sole discretion.

### 2. Services
BMapi may provide vendors with access to:
* WhatsApp Business API services
* Automation and integration systems
* Messaging infrastructure
* Dashboard access
* Technical support
* Reseller or partner tools
* API credentials and related services
Access to services may depend on account verification, compliance checks, and payment status.

### 3. Vendor Responsibilities
The Vendor agrees to:
* Use services only for lawful business purposes
* Obtain proper consent from end users before sending communications
* Comply with Meta, WhatsApp, and applicable platform policies
* Maintain the confidentiality of account credentials and API keys
* Ensure all data shared with BMapi is lawful and properly authorized
* Avoid spam, abuse, phishing, fraud, or misleading activities
* Not misuse the platform or attempt unauthorized access to systems
The Vendor is solely responsible for all activities performed through their account or integrations.

### 4. Compliance with Meta and WhatsApp Policies
Vendors using WhatsApp Business API services must comply with:
* WhatsApp Business Messaging Policy
* Meta Platform Terms
* Applicable commerce and communication laws
Violation of Meta or WhatsApp policies may result in immediate suspension or termination of services without prior notice.
BMapi is not responsible for restrictions, bans, rejections, quality rating issues, or account actions taken by Meta or WhatsApp.

### 5. Payments and Billing
All fees, subscriptions, setup charges, messaging costs, and related service charges must be paid on time.
Failure to complete payment may result in:
* Service interruption
* Suspension of accounts
* Termination of services
* Loss of access to APIs or dashboards
Unless otherwise stated in writing:
* All payments are non-refundable
* Setup and onboarding charges are non-refundable once services are activated
* Taxes and government charges are the responsibility of the Vendor

### 6. Refund and Cancellation
Due to external onboarding, verification, infrastructure, and provisioning costs, payments made to BMapi are generally non-refundable once services have been activated.
Vendors may request cancellation of services at any time; however, cancellation does not guarantee refunds for previously paid amounts.

### 7. Data Protection and Privacy
BMapi processes vendor and customer data in accordance with its Privacy Policy.
The Vendor agrees:
* To collect and process customer data lawfully
* To obtain all necessary user permissions and consents
* Not to misuse, sell, or unlawfully distribute user data
* To comply with applicable privacy and data protection laws
BMapi reserves the right to suspend services if data misuse or privacy violations are detected.

### 8. Intellectual Property
All software, systems, APIs, branding, dashboards, documentation, and technologies provided by BMapi remain the exclusive property of BMapi or its licensors.
Vendors may not:
* Reverse engineer services
* Copy or reproduce proprietary systems
* Resell services without authorization
* Use BMapi branding without permission

BMapi aims to maintain stable and reliable services but does not guarantee uninterrupted or error-free operation.
Service availability may be affected by:
* Meta/WhatsApp outages
* Infrastructure failures
* Maintenance activities
* Government restrictions
* Third-party provider issues
BMapi shall not be liable for downtime, delivery delays, message failures, or platform disruptions outside its reasonable control.

### 10. Limitation of Liability
To the maximum extent permitted by law, BMapi shall not be liable for:
* Indirect or consequential damages
* Business interruption

* Revenue loss
* Messaging failures
* Account bans or restrictions by Meta/WhatsApp
* Unauthorized access caused by vendor negligence
The Vendor agrees to use the services at their own risk.

### 11. Indemnification
The Vendor agrees to defend, indemnify, and hold harmless BMapi, its directors, employees, partners, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:
* Vendor misuse of services
* Violation of laws or policies
* Spam or unauthorized messaging
* Data protection violations
* Customer disputes
* Intellectual property infringement

### 12. Suspension and Termination
BMapi may suspend or terminate vendor access immediately if:
* These Terms are violated
* Fraudulent or abusive activity is detected
* Required compliance information is not provided
* Meta or WhatsApp policies are violated
* Payments remain overdue
Termination may result in permanent loss of access to services, APIs, dashboards, and associated data.

### 13. Modifications to Terms
